Over the years our team has helped a large number of practitioners define relationships with one another through partnership/shareholder agreements and employment contracts. We have helped them select and organize the correct practice entity, be it a solo practice, partnership, corporation or limited liability company, and then put in place all of the documentation required to define the relationships between the practitioners. We also have extensive experience in advising clients when it becomes necessary to unravel these relationships, including both enforcing and defending claims revolving around non-compete agreements.
Professional practices today exist in a highly complex world of third party payors with their managed care contracts, overlapping networks of preferred providers and suppliers, hospitals with often conflicting medical staff rules and requirements, and governmental regulation (e.g., Medicare and Medicaid, including fraud and abuse, Stark I and II, and more recently, HIPAA). We have many years of experience in counseling our clients on these and many related issues. We also work on a regular basis with hospital practice support agreements, joint development relationships with durable medical equipment manufacturers, medical office building landlords and leases, licensing and credentialing problems, and practice acquisitions, sales and mergers.
Our team has also assisted practitioners evaluating and, when appropriate, implementing related business opportunities. These range from development of a medical office building to establishment of physical therapy units, infusion centers, surgicenters and the like.
